1. Nature of Services

At Trade Price operates as a dual-purpose platform:

  1. Marketplace: A platform connecting customers with suppliers. We do not hold stock, nor are we responsible for the quality, suitability, or fitness of the products offered by suppliers. All products displayed are supplied directly by third-party suppliers.
  2. Software Tools: We provide digital tools, including an AI-powered Quote & Invoice Builder, to assist tradespeople and DIYers in estimating projects and generating documentation.

2. AI Quote Builder & Digital Tools

The Site includes access to tools powered by Artificial Intelligence (AI) and third-party APIs (including OpenAI and Google). By using these tools, you acknowledge and agree to the following:

  • Estimation Aid Only: The Quote Builder is designed as an estimation aid. It is not a substitute for professional quantity surveying, structural engineering, or on-site verification.
  • Accuracy Disclaimer: AI-generated content is probabilistic and may contain errors. You are solely responsible for verifying all quantities, measurements, specifications, waste allowances, and prices generated by the tool before ordering materials or presenting a quote to your own clients.
  • No Liability for Estimates: At Trade Price is not liable for any financial losses, under-quoted jobs, over-ordering of materials, or project delays resulting from reliance on data generated by our tools.
  • Data Storage: Our tools use your browser’s “Local Storage” to save your work (quotes, customer details, history) on your device. We are not responsible for data loss caused by clearing your browser cache, device failure, or using a private/incognito window.

3. User Accounts and Conduct

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in illegal activities. Prohibited activities include:

  • Attempting to interfere with the Site’s security.
  • Using the AI tools to generate spam, fraudulent documents, or malicious content.
  • Reverse-engineering the Quote Builder software or scraping data from the Site.

4. Intellectual Property

  • Site Content: All text, graphics, logos, and software code on the Site are the property of At Trade Price or its content suppliers and are protected by international copyright laws.
  • Generated Content: You retain ownership of the specific client data you input into the Quote Builder. However, the layout, design, and formatting of the generated PDF documents remain the intellectual property of At Trade Price, which grants you a non-exclusive license to use them for your business purposes.

5. Orders and Delivery (Marketplace)

Orders placed through At Trade Price are fulfilled directly by third-party suppliers. At Trade Price does not guarantee delivery times and is not liable for delays caused by suppliers or couriers. Risk of damage or loss during shipping is the responsibility of the supplier and/or courier.

6. Pricing and Payments

  • Marketplace: Prices displayed for products are provided by suppliers and may change without notice.
  • Software Subscription: If you subscribe to a paid tier of our software tools, you agree to the recurring billing terms presented at checkout.
  • Processing: Payments are processed through secure third-party gateways (e.g., Stripe). At Trade Price is not responsible for gateway errors or security breaches handled by these providers.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Product Liability: We are not responsible for product quality, delayed deliveries, or damages incurred during transit.
  • Software Liability: We do not guarantee that our AI tools will be error-free, uninterrupted, or available at all times (as they rely on third-party API uptime). We are not liable for any indirect, incidental, or consequential damages (including loss of profits, business, or data) arising from the use of our tools.
  • Cap on Liability: At Trade Price’s total liability for any claim arising out of these Terms is limited to the value of the transaction or subscription fee paid by you in the 12 months preceding the claim.

8. Statutory Rights of Consumers

The disclaimers and limitations of liability in these Terms and Conditions do not aim to exclude or limit any statutory rights of a consumer (such as those under the Consumer Rights Act 2015) that cannot be lawfully excluded or limited.

9. Refunds and Returns

11. Customer Responsibilities

  • Marketplace: You are responsible for ensuring the accuracy of delivery addresses and product specifications.
  • Software: You are responsible for ensuring that any RAMS (Risk Assessment Method Statements) or safety documents generated by our tool are reviewed by a competent person and are suitable for your specific site conditions before use.

12. Force Majeure

At Trade Price shall not be liable for any failure or delay in performance arising out of forces beyond its reasonable control, including strikes, internet service provider failures, third-party API outages (e.g., OpenAI or Google), war, or natural disasters.

13. Severability

If any provision of these Terms is found to be invalid by a court, that provision shall be enforced to the maximum extent permissible, and the other provisions will remain in full force.

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

At Trade Price reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated “Effective Date.” Continued use of the Site constitutes acceptance of the modified terms.
